1. Acceptance of Terms
Welcome to Query Logik ("Query Logik", "Company", "we", "our", or "us").
These Terms of Service ("Terms") govern your access to and use of the Query Logik website, desktop application, software, and related services (collectively, the "Services").
By accessing, downloading, installing, purchasing, subscribing to, or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Services.
2. About Query Logik
Query Logik is a desktop database client that allows users to:
- Connect to supported databases
- Execute SQL queries
- Analyze and explore data
- Use AI-assisted features to interact with databases
- Manage database workflows
Query Logik is designed primarily as a local desktop application. Database connections, query execution, and AI interactions generally occur on the user's device.
3. Eligibility
You must be at least 18 years old and have the legal authority to enter into a binding agreement to use the Services.
By using the Services, you represent and warrant that you meet these requirements.
4. License Grant
Subject to these Terms and payment of applicable fees, Query Logik grants you a limited, non-exclusive, non-transferable, revocable license to install and use the software for your personal or internal business purposes.
This license does not grant ownership of the software or any intellectual property rights. All rights not expressly granted are reserved by Query Logik.
5. License Keys and Subscriptions
Certain features may require:
- A valid license key
- An active subscription
- Account management through Polar
License validation may occur periodically through infrastructure operated by Query Logik and its service providers.
You agree not to:
- Share license keys with unauthorized users
- Circumvent licensing mechanisms
- Tamper with subscription validation systems
- Resell licenses without written authorization
- Attempt to bypass usage restrictions
We reserve the right to suspend, revoke, or terminate licenses that violate these Terms.
6. Billing and Payments
Payments, subscriptions, renewals, refunds, and license management are processed through Polar. By purchasing a subscription or license, you may also be subject to Polar's applicable terms and policies.
Query Logik does not directly collect or store payment card information.
7. Bring-Your-Own-Key AI Services
Query Logik supports integrations with third-party AI providers including OpenAI, Anthropic, and Google Gemini. To use AI-powered features, you may be required to provide your own API credentials.
You acknowledge and agree that:
- You are solely responsible for obtaining and maintaining API credentials
- Your use of third-party AI services is governed by the provider's own terms and policies
- Query Logik does not own, operate, or control third-party AI services
- Query Logik does not guarantee the availability, accuracy, reliability, security, or performance of third-party AI services
- AI providers may process data that you choose to submit to them
- You are responsible for determining whether information sent to an AI provider complies with your organization's policies, contractual obligations, and applicable laws
8. Database Access and User Responsibility
You are solely responsible for:
- Databases you connect to
- Credentials you provide
- Access permissions granted to Query Logik
- Queries executed through the Services
- Data viewed, modified, exported, deleted, or analyzed through the Services
You represent and warrant that you have all necessary rights, permissions, and authority to access and interact with any database connected through Query Logik. Query Logik does not verify database ownership, authorization, permissions, or the legality of database access.
9. AI-Generated Content Disclaimer
Artificial intelligence systems are inherently probabilistic and may produce inaccurate, incomplete, outdated, misleading, or incorrect information. Any AI-generated content provided through Query Logik is offered solely as a convenience tool.
You acknowledge and agree that:
- AI-generated SQL may contain errors
- AI-generated recommendations may be incorrect
- AI-generated analyses may be incomplete or misleading
- AI-generated responses should not be relied upon without independent verification
- AI output may not reflect current best practices, security standards, or business requirements
You are solely responsible for reviewing, validating, testing, and approving any AI-generated output before relying upon it or executing it against any system. Use of AI-generated output is entirely at your own risk.
10. Data Accuracy, Validation, and User Responsibility
Query Logik is a software tool. We do not independently verify the accuracy, completeness, reliability, legality, or quality of any data accessed, displayed, analyzed, generated, modified, exported, or processed through the Services.
You are solely responsible for:
- Verifying the accuracy of all data
- Reviewing all query results
- Validating AI-generated SQL
- Testing queries before execution in production environments
- Maintaining appropriate backups
- Implementing access controls and security safeguards
- Confirming that outputs meet your business, technical, legal, and compliance requirements
- Monitoring the impact of any actions taken using the Services
Query Logik does not guarantee that:
- Query results are accurate
- Data returned from connected systems is complete
- AI-generated responses are correct
- AI-generated SQL is safe, secure, optimized, or suitable for your intended purpose
- Reports, analyses, summaries, or recommendations are error-free
Any action taken based on information produced through the Services is taken entirely at your own risk. Query Logik shall not be responsible for any loss, corruption, deletion, modification, exposure, inaccuracy, or unavailability of data resulting from your use of the Services.
11. No Professional Advice
The Services may generate analyses, summaries, recommendations, SQL queries, visualizations, or other informational content. Such content is provided for informational purposes only and does not constitute:
- Legal advice
- Financial advice
- Tax advice
- Accounting advice
- Compliance advice
- Security advice
- Healthcare advice
- Professional consulting services
You are solely responsible for obtaining independent professional advice where appropriate.
12. Acceptable Use
You agree not to use the Services to:
- Violate any law or regulation
- Access systems without authorization
- Circumvent security controls
- Interfere with networks or infrastructure
- Distribute malware or malicious code
- Engage in fraudulent activity
- Infringe intellectual property rights
- Attempt to bypass licensing restrictions
- Conduct unlawful surveillance or data collection
- Disrupt or interfere with the Services
We may suspend or terminate access for violations of this section.
13. Intellectual Property
The Services, including all software, source code, trademarks, logos, branding, documentation, designs, and related intellectual property, are owned by Query Logik or its licensors. Except for the limited license granted under these Terms, no rights are transferred to you.
You may not:
- Copy
- Modify
- Distribute
- Sell
- Sublicense
- Reverse engineer
- Decompile
- Create derivative works
except as expressly permitted by applicable law.
14. Feedback
If you provide suggestions, ideas, feature requests, bug reports, or other feedback, you grant Query Logik a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback without restriction or compensation.
15. Third-Party Services
The Services may interact with third-party products and providers, including:
- Polar
- Cloudflare
- OpenAI
- Anthropic
- Google Gemini
- Database hosting providers
- Analytics providers
Query Logik is not responsible for third-party services, content, systems, products, availability, security, or policies. Your use of third-party services is governed by their applicable terms and privacy policies.
16. Service Availability
We strive to provide reliable Services but do not guarantee uninterrupted availability. The Services may be modified, updated, suspended, discontinued, or restricted at any time without liability.
17. Disclaimer of Warranties
To the maximum extent permitted by law, the Services are provided "as is" and "as available." Query Logik disclaims all warranties, whether express, implied, statutory, or otherwise, including any warranties of:
- MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ACCURACY
- RELIABILITY
- AVAILABILITY
- SECURITY
- PERFORMANCE
Query Logik does not warrant that the Services will be error-free, uninterrupted, or free from defects.
18. Limitation of Liability
To the maximum extent permitted by law, Query Logik shall not be liable for any indirect, incidental, special, consequential, or exemplary damages, including loss of profits, revenue, data, business interruption, or goodwill arising out of or related to the Services, including any AI-generated output, database activity, query execution, data modification, or data loss.
In no event shall Query Logik's total liability exceed the greater of: (A) the amount paid by you to Query Logik during the twelve (12) months preceding the claim; or (B) one hundred U.S. dollars (USD $100).
19. Indemnification
You agree to defend, indemnify, and hold harmless Query Logik and its owners, officers, employees, contractors, affiliates, successors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses arising out of:
- Your use of the Services
- Your violation of these Terms
- Your access to or use of databases
- Your misuse of AI-generated content
- Your violation of any law or third-party rights
20. Termination
We may suspend or terminate your access to the Services at any time if:
- You violate these Terms
- Required fees are not paid
- Fraudulent activity is detected
- Continued access creates legal, operational, or security risks
Upon termination, your license to use the Services immediately ends.
21. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to conflict-of-law principles.
22. Dispute Resolution
Before initiating legal proceedings, the parties agree to make reasonable efforts to resolve disputes through good-faith discussions.
Any legal action arising from these Terms shall be brought exclusively in the state or federal courts located in Florida, unless otherwise required by applicable law.
23. Changes to These Terms
We may update these Terms from time to time. Updated versions will be posted on our website and become effective upon publication unless otherwise specified.
Your continued use of the Services after an update constitutes acceptance of the revised Terms.
